These Terms of Use, together with our Privacy Policy and any additional terms or information incorporated by reference (collectively, the “Terms”), govern your access to and use of our website Glocalyze.com (including related domains), the Software-as-a-Service (SaaS) platform, and mobile application (collectively, the “Platform”), as well as the services, data, notifications, and content provided through them (collectively, the “Services”).

Please carefully review these Terms before using the Services or accessing the Platform to avail the Services. The Terms constitute a binding legal agreement between You (also referred to as "Your", "User") and Utilarion Technologies Pvt Limited, the company which owns the Glocalyze platform (also referred to as "Utilarion", “Glocalyze”, "Company", "Us", "We", "Our").

By accepting the Terms and accessing the Platform to use the Services, you agree to be bound by and comply with these Terms. We may modify or amend these Terms or change any features of the Services at any time without notice to You. The current version of these Terms can be viewed by clicking on the "Terms of Use" link posted on the Platform. You accept the Terms by using the Services and any updates to these Terms by continuing to use the Services after we modify them.

1. Definitions

1. "Personal Information" shall refer to any information that relates to an identified or identifiable individual, which includes full name, contact number, email ID, country, nationality, organisation, and designation.
2. "Service Plan" refers to the plan under which Services are provided according to the Terms of Use. Depending on the agreed Service Plan, different functionalities of the Service will be accessible to Users, and different pricing may be applicable.

2. Consent

1. By accessing, registering or using the Platform, You agree to be bound by the Terms for availing the Services offered by Us. If You do not agree with any part of the Terms, please do not continue to use or access the Platform or avail the Services.
2. If You are under 18 years of age, please do not use the Platform. By accepting the Terms, registering, and accessing the Platform, You hereby represent and warrant that You are over 18 years of age and have the legal right, authority, and capacity to be bound by the Terms and to utilise the Services.

3. Description of Service

Glocalyze is a software-as-a-service (SaaS) platform that enables users to:

• Connect Meta (Facebook and Instagram) advertising accounts (if available & provided by the user).
• Replicate/Create, manage, and launch advertising campaigns at scale on-behalf-of the user.
• Generate ad creative, ad sets, and campaigns using AI.

4. Use of Glocalyze

1. The Platform, including the Services therein, can only be accessed or used by You solely for purposes that are permitted by the Terms.
2. It is Your responsibility to review the Terms available on the Platform and to comply with them.
3. The Services can be accessed by using the Platform or by registering/signing up through the Platform.
4. You agree to provide true, complete, and accurate information when You sign up or register on the Platform to access the Services. We accept no responsibility for the authenticity or correctness of the Personal Information supplied by the User.
5. You are obliged to do everything reasonably required and expected to ensure that the Services are carried out correctly and promptly. Specifically, the User will ensure that all information marked by Glocalyze as essential or that the User should reasonably recognise as necessary for performing the Services is provided to Glocalyze in a timely manner. The User also ensures that the Information and details are accurate, complete, and current.
6. You are not permitted to upload or share any information that is false, misleading, libellous, blasphemous, defamatory, pornographic, obscene, harassing, hateful, or containing graphic videos or images.
7. You acknowledge that the information You upload on the Platform does not violate or infringe any third-party Intellectual Property Rights, data protection rights, consumer protection laws, advertising laws/regulations, or otherwise invasive of any other person's privacy.
8. You agree to promptly notify Glocalyze of any actual or suspected third-party use of Your Account. While Glocalyze employs robust security measures, including data encryption, You acknowledge the inherent risks of online activities and agree to cooperate with Us in maintaining a secure environment. Glocalyze shall not be responsible for such unauthorised use of Your Account, and any loss of Information or Content caused to You or the Company shall be solely Your liability.
9. We accept no responsibility for any information you share with us, except for maintaining reasonable security as outlined in the Terms.
10. You agree not to access the Services to monitor their performance, availability, or destroy, or limit the functionality of our Platform or any of its pages/features.

5. Access to the Services and Duration of Service Plans

1. The scope of the User's access to the Services will be determined by the agreed Service Plan. If no service plan is availed, or if an agreed-upon Service Plan expires or is terminated, the User will not be able to access certain Services until the User purchases a new Service Plan.
2. If the accepted quotation for a Service Plan specifies that the Service Plan will be valid for a specified initial period, it will, at the end of that period, be automatically renewed for the same duration (hereinafter: "Renewal Period"), unless the User opts out of renewal at least one (1) day prior to the start of the Renewal Period.
3. The terms, conditions, and pricing during the initial period will also apply to the Renewal Periods. Glocalyze will give written notice to the User of any changes to the scope of Services and/or an increase in pricing at least one (1) week before these changes take effect. Glocalyze can also provide immediate written notice of any amended scope of Services and/or pricing increase. Continuing to use the Services after the amended terms, Services, and/or pricing come into force will indicate acceptance of the updated terms, conditions, and pricing.
4. The User may accept a new Service Plan at any time, which will immediately replace the previous one. The terms, conditions, and pricing of the new Service Plan will then automatically apply to the Agreement. In such cases, the User will not be entitled to a refund or discount for any unused portion of the terminated Service Plan.
5. If the User fails to pay any amount payable by them under the Terms or otherwise, Glocalyze reserves the right to restrict access to the Services until such payment is received.
6. There are no hidden fees. You are charged only for your monthly subscription and applicable taxes & a commission on your ad spends mentioned as “Performance management fee”.
7. No refund of any Fees shall be granted under any circumstances.

6. General Restrictions & Account Termination

1. You must ensure that no part of the Information You upload or Your use of the Platform is in violation of any laws, rules, or regulations in force.
2. You shall not trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive account information such as user passwords.
3. You shall not use the Services in a manner inconsistent with any applicable laws or regulations.
4. You shall not use the Services as part of any effort to compete with Us or otherwise use the Content therein for any revenue generating endeavour.
5. You shall not use the Platform in any manner that could disable, overload, damage, or impair the Platform or interfere with any other party's use of the Platform.
6. You shall not store or transmit infringing, libelous, or otherwise unlawful or tortious material or store or transmit material in violation of third-party rights.
7. You shall not transfer, sell, sublicense, monetise, or make the functionality of the Services available to any third party.

Termination and Suspension of Accounts:
If it is found that You are in violation of the Terms of Use, including the violation of the general restrictions of use highlighted above and the valid use as laid down herein, You shall be notified of such violation, and after a reasonable period, the account shall be terminated or suspended, as the case may be.

7. Intellectual Property Rights

1. The Platform includes design, outline, layout, concept, look and feel, arrangement, functionalities script, styles, text, images, videos, audios, photos, illustrations, notifications, software, source code, object code, and all material or content that form part of the Services offered, which are the sole and exclusive property of the Company. All rights, titles, and interests, including Intellectual Property Rights therein, belong to the Company.
2. All trademarks and domain names related to Glocalyze or any other trademark, tradename mentioned on the Platform are the Company's Intellectual Property or are licensed for use by the Company.
3. The User acknowledges that all rights, titles, and interests in any of the Company's Services are solely and exclusively owned by the Company, and that any intellectual property rights related to them belong to the Company.
4. The Company owns all Content on the Platform and reserves the right to add, modify, alter, delete, or remove any Content on the Platform without prior notice to you.
5. Any Intellectual Property Rights not explicitly granted are unconditionally reserved by the Company.
6. You may download and access the Content on the Platform only temporarily and solely for the purpose of viewing such Information. You are not permitted to use, copy, disclose, modify, or reproduce the Contents of the Platform in any manner not explicitly authorised by the Company. Any unauthorised use for commercial purposes or otherwise by the User shall constitute a violation of the Company's intellectual property rights, and the Company reserves the right to undertake all necessary legal remedies available under applicable laws.
7. You acknowledge that Generative AI outputs may be inaccurate, incomplete, biased, or non-deterministic. Outputs are not guaranteed to be unique and must be reviewed before use.

8. Information Collection & Usage

Information Provided Directly:

• Name, email address, and contact information
• Billing and payment information (processed by third-party providers)
• Team member information you associate with your account
• Advertising account identifiers (e.g., Meta Ad Account IDs)
• Responses to surveys, support requests, and feedback

We do not intentionally collect Sensitive Personal Data (e.g., racial or ethnic origin, health data) unless required for compliance, and only with explicit consent.

Information Collected Automatically:

• IP address and approximate location
• Browser type, device identifiers, operating system
• Log data, timestamps, and navigation activity
• Feature usage, credit consumption, and performance data
• Error and diagnostic data

How We Use Information:

• Providing and operating the Service
• Managing accounts and authentication
• Processing billing and subscription charges
• Delivering AI-powered features
• Monitoring usage and enforcing limits
• Preventing fraud, abuse, and security incidents

9. Services Management & Disclaimer of Warranties

Services Management:
We reserve the right to:

1. Monitor the Services for violations of these Terms of Use;
2. Take appropriate legal action against anyone who, at Our sole discretion, violates the law or the Terms, including, without limitation, reporting such User to law enforcement authorities;
3. At Our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your contributions or any portion thereof;
4. At Our sole discretion, and without limitation, notice, or liability, we may remove from the Services or otherwise disable all files and content that are excessively large or burdensome to Our systems; and
5. Otherwise, handle the Services in a way that safeguards Our rights and property and ensures their proper operation.

Disclaimer of Warranties:

1. The content on the Platform, including Services offered therein, is provided on an "as is" and "as available" basis. The Company neither assumes any responsibility nor provides any representations or warranties of any kind, including but not limited to, implied warranties of non-infringement, quality, security, fitness for a particular purpose.
2. Disclaims error-free, uninterrupted operation, network compatibility, security of data transmission.
3. You are solely responsible for the information or content that you choose to provide and submit on the platform, and we disclaim all responsibility regarding any such information or content you provide to us. Our role is limited to that of an intermediary under the Information Technology Act, 2000.
4. The Services may generate content using artificial intelligence technologies and may contain inaccuracies, omissions, or unintended results. The Company makes no representations or warranties regarding accuracy or suitability.
5. The Company does not guarantee any specific results, outcomes, revenue, leads, or customer conversions from your use of the Platform or the Services.

10. General Legal Provisions

• Limitation of Liability & Indemnification: User agrees to defend, indemnify, and hold harmless the Company against all claims, suits, proceedings, actions, or demands arising from material breaches.
• Survival: Obligations under Indemnification and Intellectual Property shall survive termination of these Terms.
• Severability: In case any provision is found to be unenforceable, invalid, or illegal, such provision shall be severed without affecting remaining terms.
• Waiver: No waiver of any breach shall be considered a waiver of any previous or future breach. Any waiver must be in writing.
• Force Majeure: Glocalyze shall not be obliged to perform obligations delayed due to war, natural disasters, acts of God, or government actions.
• Governing Law & Dispute Resolution: Governed by and construed in accordance with the laws of India. Courts in Mumbai shall have exclusive jurisdiction.
